Our platforms are intended solely for authorized business users, including:

– Enterprise customers
– Approved suppliers
– Verified vendors
– Contracted partners

You may not access or use these services for unlawful, fraudulent, or unauthorized purposes.

## 2. Enterprise Platform Services

Onshore provides secure cloud-based solutions supporting:

– Supplier onboarding
– Vendor compliance workflows
– Procurement engagement
– Data migration and modernization services
– Operational and enterprise support tools

Platform access may be restricted, suspended, or modified at any time to maintain security and integrity.

## 3. User Accounts and Responsibilities

Users are responsible for:

– Maintaining confidentiality of credentials
– Ensuring accuracy of submitted information
– Preventing unauthorized access
– Complying with all applicable contractual obligations

You agree not to impersonate any entity or misrepresent affiliation.

## 4. Acceptable Conduct

Users must not:

– Upload malicious code, exploits, or harmful content
– Attempt unauthorized access or penetration
– Disrupt service operations or infrastructure
– Misuse supplier/vendor data
– Engage in unlawful activity through the platform

Violations may result in immediate termination of access.

## 5. Intellectual Property

All platform content, software, branding, and proprietary technology are owned by Onshore or its licensors.

Users receive a limited, non-transferable right to use the services solely for authorized business purposes.

No rights are granted beyond those explicitly stated.

## 6. Confidentiality

Supplier and vendor users may access confidential enterprise information.

Users agree to:

– Maintain strict confidentiality
– Use information only for approved purposes
– Prevent disclosure to unauthorized third parties

Additional confidentiality terms may apply under separate agreements.

## 7. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis.

Onshore disclaims all warranties, including:

– Merchantability
– Fitness for a particular purpose
– Non-infringement
– Availability without interruption

## 8. Limitation of Liability

To the maximum extent permitted by law, Onshore is not liable for:

– Indirect or consequential damages
– Loss of profits or business interruption
– Unauthorized access caused by user negligence
– Third-party platform misuse

Total liability shall not exceed amounts paid under applicable service agreements.

## 9. Termination of Access

Onshore may suspend or terminate access if:

– Terms are violated
– Security risks arise
– Unauthorized use is detected
– Enterprise contracts expire

Users may also discontinue use at any time.

## 10. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, unless otherwise specified by enterprise contract.
